Ginkgo is constructing, editing, and redesigning the living world in order to answer the globe’s growing challenges in health, energy, food, materials, and more. Our bioengineers make use of an in-house automated foundry for designing and building new organisms. Today, our foundry is developing over 40 different organisms to make different products across multiple industries.
As a member of our Corporate Legal Team, you will be focused on providing creative solutions to help drive these groundbreaking endeavors at Ginkgo, and we’re seeking a talented, motivated, and energetic Corporate Counsel to join our team. In particular, you’ll support the growth of our cell engineering business by overseeing business development transactions, supporting our foundry supply chains and operations, leading and negotiating agreements, engaging with existing collaborators, and more. With your in-depth legal experience in business development, logistics, and alliance management in the life sciences space, your role will be critical to Ginkgo’s success.
Responsibilities
- Build the legal function at Ginkgo by working on various IP transactions and other corporate matters with a dynamic set of lawyers
- Assist our business development team by supporting transactions for our cell engineering business including reviewing term sheets, conducting diligence activities and drafting transaction documents
- Draft, review and negotiate collaboration agreements, licenses, commercial contracts, service agreements, consulting agreements, material transfer agreements, acquisitions and other contracts
- Grow our internal repository of agreement templates, models, guidances and professional development materials
- Execute and deliver excellent work product while managing multiple deals in a fast-paced environment
- Support our commercial operations team on legal matters to establish and maintain strong alliances with existing customers
Minimum Requirements
- BA/BS degree
- JD and licensed to practice law in the United States
- 3+ years’ experience practicing law in a law firm and/or a corporation within the life science space
Preferred Experience and Capabilities
- Independent work style, with a propensity to identify and take ownership of matters that need attention
- Nimble and adaptable to a dynamic work environment
- Can-do attitude and a humble approach to work allocation
- Law firm and in-house experience preferred
- Understanding of IP transactions, including licenses, material transfers and collaborations and general corporate transactions and agreements, including stock purchase agreements and other investor agreements, confidentiality agreements and services agreements
- Diligent approach to knowledge management within a team
- Dedication to ensuring good communication and collaboration with internal and external counterparts
